Construction Contracts
We negotiate and prepare construction contracts, architect agreements, engineering and design agreements, professional services agreements, purchase orders, payment and performance bonds, mechanics’ liens, notices of completion, consulting agreements, and construction management agreements.
Property Management
We handle all matters related to the ownership and operation of real estate projects including enforcement of lease terms, collecting past due rents and other payment obligations, and recovering possession of leased premises. We are experienced in resolving (with and without litigation) disputes of all kinds over the payment/nonpayment and collection of rent, breaches of the other terms, covenants and conditions of leases, common law defaults, and issues concerning landlord liability. We also assist clients in developing risk-management systems, responses to minimize liability, identifying potential risk areas and establishing effective protections and operating protocols.

Entity Selection, Formation, and Equity Syndication
We have extensive experience in all aspects of real estate joint ventures and entity formation, including negotiating, documenting, and implementing all types of joint ventures, including limited liability companies, partnerships, and corporations, as well as providing guidance during partner disputes and litigation. In addition to equity investment through customary joint venture mechanisms, we structure a wide array of funding vehicles, including senior and subordinated project and entity- level debt, mezzanine financing, shared appreciation loans, and other hybrid debt/equity instruments. We assist clients in the syndications of equity interests, debt instruments, and other entity-level investments, with varying degrees of risk, participation, and control.

We are sensitive to the time and cost concerns of our clients and possess the depth of knowledge and experience to handle both routine as well as unusual and complex transactions in a timely, thorough, and effective manner.
